Terms of Service

1. Acceptance of Terms

By accessing and using Sellergate's e-commerce data analysis platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

2. Service Description

Sellergate provides a comprehensive data analysis platform that enables users to:

• Extract, transform, and load (ETL) data from various e-commerce platforms (Shopee, Lazada, TikTok Shop).
• Analyze sales performance, order trends, and product metrics.
• Create custom dashboards and reports for business intelligence.
• Access historical data and trend analysis.
• Utilize dimensional modeling for comprehensive business insights.

3. User Accounts and Responsibilities

3.1 Account Registration

You must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 User Obligations

You agree to:

• Use the Service only for lawful purposes and in accordance with these Terms.
• Ensure that your use of the Service complies with applicable e-commerce platform terms (Shopee Open Platform, Lazada Open Platform, and TikTok Shop Academy).
• Not attempt to gain unauthorized access to any part of the Service.
• Not interfere with or disrupt the Service or servers.
• Maintain the security of API credentials provided to the Service.

4. Marketplace Platform Compliance

As a data aggregator, SellerGate operates in strict accordance with the developer requirements of major marketplaces:

• Shopee/Lazada: We access data only via official API channels and respect all rate-limiting and data privacy restrictions.
• TikTok Shop: We comply with TikTok Shop's Merchant Service Provider policies regarding the handling of sensitive customer information.
• Platform Changes: You acknowledge that changes to these third-party APIs may temporarily affect data availability within SellerGate.

5. Data Usage and Processing

5.1 Data Collection

The Service collects and processes data from your connected e-commerce platforms, including but not limited to: order details, product information, customer data, sales metrics, and campaign performance data.

5.2 Data Processing

We process your data using secure ETL pipelines, data warehouses, and analytical tools including Microsoft Fabric, PySpark, and Delta Lake. All data processing is performed in accordance with our Privacy Policy and applicable data protection laws.

5.3 Data Accuracy

While we strive to ensure data accuracy, Sellergate is not responsible for inaccuracies in source data from connected e-commerce platforms. Users are responsible for verifying critical business decisions against original platform data.

6. Intellectual Property Rights

6.1 Service Ownership

The Service, including all software, algorithms, designs, and documentation, is owned by Sellergate and protected by intellectual property laws. These Terms do not grant you any ownership rights to the Service.

6.2 User Data

You retain all rights to your business data. By using the Service, you grant Sellergate a limited license to process, store, and analyze your data solely for the purpose of providing the Service.

7. Data Retention and Deletion

Analytical data is retained for 36 months to support historical trend analysis. Personal data will be deleted within 30 days of service termination in compliance with Thailand's Personal Data Protection Act (PDPA).

Financial records are retained for 5 years as required by Thai accounting law.

8. Limitation of Liability

To the maximum extent permitted by law, Sellergate shall not be liable for:

• Any indirect, incidental, special, or consequential damages.
• Loss of profits, revenue, data, or business opportunities.
• Damages resulting from reliance on data or analytics provided by the Service.
• Issues arising from third-party e-commerce platform changes, outages, or account suspensions.

Our total liability shall not exceed the amount paid by you for the Service in the 12 months preceding the claim.

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of Thailand. Any disputes arising from these Terms or the Service shall be resolved through arbitration in Bangkok, Thailand, in accordance with Thai arbitration rules.
